Microsoft Expands OpenAI Partnership with $135 Billion Investment and New Governance Framework

Microsoft’s $135 billion stake in OpenAI ushers in a new governance era, extending IP rights and redefining independence in the race toward Artificial General Intelligence

Microsoft and OpenAI have entered a new phase in their partnership with the signing of a definitive agreement that deepens financial and operational collaboration while reshaping governance around the pursuit of Artificial General Intelligence (AGI).

The renewed arrangement, which builds on their initial 2019 alliance, confirms Microsoft’s continued backing of OpenAI’s growth and commitment to responsible AI development. Under the terms of the deal, Microsoft’s investment in OpenAI Group Public Benefit Corporation (PBC) is now valued at about $135 billion, representing roughly a 27 percent stake on an as-converted diluted basis.

The restructuring follows OpenAI’s decision to form a Public Benefit Corporation and undertake a recapitalization aimed at aligning its commercial strategy with its founding mission of advancing AI safely and ethically. Microsoft endorsed the move, describing it as a way to ensure OpenAI’s governance and capital structure evolve alongside its technology ambitions.

Governance and Oversight Overhaul

One of the most significant updates is the introduction of independent verification for any future declaration by OpenAI that AGI has been achieved. An expert panel will now be tasked with validating such claims before they take effect, a governance change that introduces new transparency into one of the technology industry’s most watched collaborations.

Microsoft remains OpenAI’s exclusive frontier model partner and retains exclusive IP rights and Azure API exclusivity until AGI is verified. These core aspects of the partnership ensure Microsoft continues to anchor OpenAI’s advanced model development and deployment.

New IP Terms and Strategic Independence

The agreement also extends Microsoft’s intellectual property rights for OpenAI’s models and products through 2032, covering technologies developed even after AGI is reached, under defined safety conditions. Its access to OpenAI’s confidential research methods will last until either 2030 or the independent AGI verification, whichever comes first.

At the same time, OpenAI gains greater operational independence, with the ability to co-develop products with third parties. However, API-based offerings created through such partnerships will remain exclusive to Microsoft’s Azure platform. Microsoft, for its part, now has the right to independently pursue AGI initiatives, either internally or with other collaborators.

Financial Commitments and Market Impact

The financial framework has also evolved. The existing revenue-sharing arrangement between the two companies will continue until AGI verification, though the payment schedule will be extended. In addition, OpenAI has agreed to purchase an extra $250 billion in Azure computing services, reinforcing Microsoft’s position as a primary infrastructure provider.

However, Microsoft will no longer hold first-refusal rights as OpenAI’s exclusive compute provider, signaling a partial decoupling that gives OpenAI greater freedom in sourcing cloud capacity.

Broader Access and Compliance Expansion

The updated terms enable OpenAI to release open-weight models that meet safety and capability thresholds and to offer API access to U.S. government national security agencies, irrespective of the cloud environment. These provisions broaden OpenAI’s potential client base and align its operations more closely with public sector compliance requirements.

Toward the Next Frontier of AI

The expanded partnership represents a strategic recalibration that balances competition and cooperation in the rapidly evolving AI landscape. For Microsoft, the deal consolidates its position as the dominant infrastructure and enterprise partner in advanced AI. For OpenAI, it secures long-term funding, operational flexibility, and a framework for accountability as it advances toward AGI.
