Trust Bank PLC has launched an approximately GH¢8.8 million tender offer for 7,328,773 ordinary shares held by qualifying shareholders on the Ghana Register, ahead of its planned delisting from the Ghana Stock Exchange (GSE).
The offer, priced at GH¢1.20 per share, is being undertaken on behalf of Solo Dabo Company Limited, the Sponsor, in accordance with Rule 93 of the GSE Listing Rules.
The move follows a special resolution passed by shareholders at the bank’s 26th Annual General Meeting on July 4, 2024, approving the company’s delisting from the GSE.
According to Trust Bank, the proposed delisting is intended to support its strategic repositioning, with the company stating that it “aligns with TBPLC’s strategic objective of optimising resources and focusing on its core operations in The Gambia.”
The tender offer provides qualifying shareholders on the Ghana Register with an opportunity to sell their holdings before the delisting is completed.
The offer is scheduled to commence at 9:00 a.m. on August 17, 2026, and will close at 4:00 p.m. on September 11, 2026. Settlement is scheduled for September 18, while the results of the offer are expected to be submitted to the Securities and Exchange Commission (SEC) and the GSE on September 23.
The company is scheduled to be delisted from the GSE at 10:00 a.m. on September 25, 2026.
For shareholders whose holdings are maintained electronically with the Central Securities Depository (CSD), Trust Bank said they must instruct their licensed dealing member or stockbroker to tender and execute the sale of their shares on the GSE to the Sponsor during the offer period.
Shareholders holding physical certificates, meanwhile, are required to complete the Form of Acceptance attached to the Offer Circular and submit it with a valid identification document and their original share certificate or certificates.
The documents must be submitted to Databank Brokerage Limited, the Sponsoring Broker, or UMB Registrars, the Receiving Agent, by 4:00 p.m. on September 11, 2026.
The tender offer and subsequent delisting are expected to conclude Trust Bank’s presence on the Ghanaian capital market as the company concentrates resources on its core operations in The Gambia.
