Dangote Petroleum Refinery and Petrochemicals FZE has completed a US$2.5 billion private equity placement, marking one of the largest publicly disclosed primary equity raises in Africa and providing fresh capital to support the expansion of its refinery and petrochemical complex.
The transaction, which was oversubscribed by 3.7 times against the initial offer size, represents the first equity capital raise by the enterprise involving external investors beyond its existing shareholder base.
Dangote Petroleum Refinery said the proceeds will be used to strengthen its capital structure, improve financial flexibility and support ongoing expansion plans aimed at increasing refining and petrochemical capacity.
The equity placement attracted participation from international and African institutional investors, sovereign-related investment vehicles, development finance institutions and strategic partners, including the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank).
The investment comes as Africa continues efforts to reduce dependence on imported refined petroleum products by expanding domestic refining capacity and improving energy security.

Aliko Dangote, President and Chief Executive Officer of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery, described the transaction as “a strategic step to deepen and further institutionalise the Enterprise’s shareholder base” while providing additional capital to complement internal cash flows and external financing.
He said the move reflects the company’s commitment to developing domestic refining and petrochemical capacity as part of efforts to reduce Africa’s reliance on imported petroleum products.
David Bird, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, said the strong investor appetite demonstrated confidence in the company’s “operational excellence” and execution capabilities.
The refinery, located in Lagos, Nigeria, is positioned as a major addition to Africa’s energy infrastructure, with the company seeking to expand its role in supplying refined petroleum products and petrochemical materials across the continent and international markets.
Dangote Petroleum Refinery said the successful capital raise strengthens its platform for long-term growth and supports its strategy of building a world-scale refining and petrochemical operation capable of contributing to Africa’s energy resilience.
