Asante Gold Corporation has sealed definitive agreements for a landmark $500 million financing package and a debt restructuring deal with Kinross Gold Corporation, setting the stage for accelerated development of its Bibiani and Chirano mines in Ghana.
The dual transaction is designed to bolster working capital, reduce liabilities, and strengthen the company’s operational base in one of Africa’s most resource-rich gold belts.
Announcing the agreements, Asante confirmed the funding mix includes a $150 million senior debt facility, a $125 million mezzanine facility, a $50 million gold stream agreement, a C$237 million brokered private placement completed in July 2025, and a planned $10 million non-brokered private placement.
Two-Stage Closing to Unlock Capital This Month
The first tranche, expected by August 15, 2025, will release around $350 million, comprising proceeds from the brokered placement, mezzanine facility, gold stream, non-brokered placement, and an initial $5 million draw on the senior debt. The second stage, due by month-end, will release the remaining $145 million from the senior facility.
Financing Structure
Senior Debt Facility: $130 million term loan at SOFR + 6.50% and $20 million revolving credit facility at SOFR + 4.50%, led by Rand Merchant Bank with backing from Appian, Ecobank Ghana, and Fidelity Bank Ghana.
Mezzanine Facility: $125 million from Appian ($75m) and Helikon Investments ($50m), priced at SOFR + 9.75%, with optional payment-in-kind flexibility for the first two years.
Gold Stream: $50 million from Appian in exchange for 1.50% of payable gold from Bibiani and Chirano for 24 months, increasing to 2.25% until delivery milestones are met.
Non-Brokered Placement: $10 million from Appian with 16.18 million warrants exercisable at C$1.67.
Kinross Restructuring Deal
As part of the settlement, Asante will pay Kinross $53 million in cash, issue 36.93 million common shares at C$1.45, and provide an $80 million convertible debenture maturing in seven years at 3% PIK interest, convertible within five years at C$1.81.
In return, Kinross will release its security interest in the Chirano Mine, while maintaining a subordinated creditor position to Asante’s senior lenders. The company has also committed $10 million toward an environmental guarantee for Chirano.
Management expects the combined transactions to close in August 2025, unlocking the capital required to drive mine development, expand production, and position Asante as a stronger mid-tier gold producer.
Industry observers say the financing reflects growing investor confidence in Ghana’s gold sector, with Asante’s ability to attract multi-layered funding seen as a strategic win in a competitive commodities market.
